1. ACCEPTANCE AND AGREEMENT
If you browse, login, register an account, use, or otherwise access any content, services, software functionalities, integrations, information, or data on this website, related mobile applications, publications, or digital tools (together, the "CanTicket Platform"), you agree to be bound by these User Terms of Use and our Privacy Policy.
If you use the CanTicket Platform on behalf of a company, partnership, or other business entity, you represent and warrant that you have the lawful authority to bind that entity to these terms. If you object to any portion of these terms, you must immediately cease all use of the CanTicket Platform.
2. AMENDMENTS AND CHANGES
We reserve the right to change, modify, add, or remove portions of these User Terms of Use and our Privacy Policy at any time. We will endeavor to notify account holders of material updates via email or system notification. Your continued use of the CanTicket Platform following the posting of changes constitutes explicit agreement to be bound by the amended terms.
3. SUBSCRIPTIONS, ACCOUNT TYPES, AND AUTOMATIC RENEWALS
Account Types: CanTicket offers subscriptions on a flat-rate Solo Account basis (restricted to a single user with basic features) or a Per-Seat Account basis (granting full platform access to multi-user workspaces calculated strictly by the number of active user seats provisioned).
Automatic Renewal: All subscriptions are billed on a recurring basis (monthly or annually) and automatically renew at the end of each billing cycle unless explicitly cancelled by the Account Holder through the platform account settings or via written notice to [email protected] at least seven (7) days prior to the renewal date.
Non-Refundability: Subscription and seat fees are completely non-refundable and remain payable regardless of actual platform usage, seat assignment modifications, or log-in activity.
Late Payment: Late payments will incur interest at a rate of one percent (1%) above the Westpac Bank overdraft rate for amounts less than $100,000, calculated daily from the due date until paid in full. CanTicket reserves the right to suspend or terminate all user access linked to an account if payments lapse.
4. FEATURE GATING AND PLATFORM ACCESS
Your level of access to the Platform's services, integrations, and advanced features is strictly determined by your account type:
Solo Accounts: Restricted strictly to core single-user time-tracking, basic job creation, and standard third-party billing synchronization utilities. Advanced operations architecture—including but not limited to automated AI Agents (Madi, Opti, Atlas), team metrics, user performance logs, multi-user scheduling, leave requests, approval rules, allocations, and contractor management—are explicitly excluded from the Solo Tier and require a paid upgrade to a Per-Seat account.
Per-Seat Accounts: Grant full, open-feature ecosystem access to multi-user workspaces, subject strictly to the administrative role permissions configured by the primary Account Holder.
5. THIRD-PARTY APPLICATIONS AND INTEGRATIONS (E.G., XERO, GOOGLE, SLACK)
Integration Functionality: The CanTicket Platform provides facilities designed to connect, sync, and interact with third-party software applications, including but not limited to Xero accounting software, Google Workspace, Slack, Asana, and Trello (each a "Third-Party App").
Independent Licences: To utilize these integrations, you must hold valid, independent accounts and software licenses with the respective Third-Party App providers. Your legal relationship with those providers is governed strictly by their terms, not by CanTicket.
No Liability for Third-Party Faults: CanTicket exercises no control over the API stability, data encryption handling, server uptime, data accuracy, or functionality modifications of Third-Party Apps. CanTicket disclaims all liability for any data loss, billing discrepancies, syncing delays, formatting errors, or system downtime caused directly or indirectly by a Third-Party App's infrastructure.
No Affiliation: Referencing third-party brand names, logos, or syncing workflows is done purely to identify software compatibility and integration support. It does not imply official endorsement, sponsorship, or a joint venture relationship between CanTicket and those entities.
6. BRING YOUR OWN KEY (BYOK) AI UTILITIES & AGENTS
Token Usage and Costs: If you activate AI functionality or configure independent API keys (including but not limited to OpenAI, Anthropic Claude, or Google Gemini) within the CanTicket Platform, you agree that you are solely responsible for all metered token costs and usage fees billed by those AI infrastructure networks.
No Processing Guarantee: CanTicket provides the interface, token tracking dashboard, and workflow ledger layer to organize AI actions. We do not warrant or guarantee the structural accuracy, completeness, or contextual reliability of AI-generated text, summaries, schedules, or time-tracking data suggestions.
7. ACCOUNTS AND SECURITY
When registering an account with us, you must provide accurate, complete, and up-to-date registration information. While using the CanTicket Platform, you must not use any device, software, or manual process to:
Harm, restrict, or lessen the enjoyment or use of the Platform by other users.
Create a false identity or misrepresent your identity.
Circumvent or manipulate our fee structure, seat-provisioning limits, or billing process.
Distribute viruses, malware, or any other technologies that may harm the software environment.
Harvest, scrape, index, or otherwise collect information or source code from our Platform without express written consent.
8. MAINTENANCE AND UPTIME
We do not guarantee continuous, uninterrupted, or secure access to the CanTicket Platform, and its operation may be interfered with by factors outside our control. We will, at our sole discretion, from time to time, perform preventive or remedial maintenance on the Platform which may cause temporary unavailability. We will endeavor to give at least 24 hours’ notice for scheduled maintenance. In the event of critical faults, urgent preventive maintenance may be performed in business hours without notice to limit operational impacts.
9. USER CONTENT
In these terms, "Content" means information, data, metrics, images, logs, or any other material that you provide on or through the use of the CanTicket Platform.
By uploading or transmitting Content, you represent and warrant that you are authorized to provide it and that it does not infringe upon any laws, third-party intellectual property rights, or privacy rights.
We may, without notice and without liability to you, remove, disable access to, or modify your Content in our sole discretion if we consider it unlawful, infringing, or in breach of these User Terms of Use.
You will at all times remain the owner of the copyright in the Content uploaded by you. You grant CanTicket a secure, worldwide, royalty-free license to host, parse, cache, process, and transmit this Content solely to deliver the platform’s features to your account.
10. LIMITATION OF LIABILITY AND INDEMNITY
As-Is Basis: To the full extent permitted by law, we disclaim any and all warranties, express or implied, regarding the accuracy, reliability, merchantability, or fitness for any particular operational purpose of any service, feature, or product provided through the CanTicket Platform.
Indirect Loss Exclusion: In no event will CanTicket, its directors, officers, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost revenue, loss of goodwill, loss of customers, loss of data, loss of anticipated savings, or business downtime—arising under or in any way connected with these terms or the use of the software.
Liability Cap: Notwithstanding anything to the contrary herein, the aggregate total liability of CanTicket to you for any cause of action whatsoever, and regardless of the form of the action, will at all times be strictly limited to AUD $500.00.
11. TERMINATION AND SUSPENSION
Without prejudice to any other rights, powers, or remedies we may have, we may limit, suspend, terminate, or delay access to the CanTicket Platform and user accounts at any time without giving an explanation or justification if we suspect you have breached these terms, failed to resolve an open invoice, or are acting inconsistently with healthy platform usage.
Account Holders may terminate their account immediately by processing a cancellation through their account billing settings or by providing written notice to us. Unauthenticated accounts or accounts left completely inactive for a period of six (6) months may be permanently cancelled or purged at our discretion.
12. INTELLECTUAL PROPERTY RIGHTS
All software code, layout designs, CSS structures, custom scripts, graphics, icons, logos, brand names, or service names identifying CanTicket are our exclusive copyright property, trademarks, or service marks. Unauthorized reuse, duplication, or extraction of materials appearing on this Platform may violate copyright protections and result in civil or criminal penalties.
13. RELEVANT JURISDICTION AND SEVERABILITY
Governing Law: These User Terms of Use will be governed by and interpreted strictly in accordance with the laws of New South Wales (NSW), Australia, without giving effect to any principles of conflicts of laws.
Dispute Resolution: You explicitly agree to submit to the exclusive personal jurisdiction of the courts located in New South Wales, Australia to determine any legal claim, debt recovery action, or dispute arising out of or connected with these terms.
Severability: If any part of these User Terms of Use is found to be void, unlawful, or unenforceable by a court of competent jurisdiction, then that specific part will be deemed severable from the balance of these terms and will not affect the validity and enforceability of any remaining provisions.
